Host Marriott Corp. announced yesterday that it will attempt to alter its corporate structure and become a real estate investment trust by next January, a format existing at virtually every other major U.S. hotel company.
At the same time, Host Marriott said it will spend $1.78 billion to buy 13 luxury hotels from New York-based Blackstone Group Inc., adding more than 5,800 hotel rooms in eight states to its portfolio. Host Marriott currently owns 100 hotels.
Just as significantly, the purchase of the Blackstone hotels will mark the first time that Host Marriott buys projects that do not carry the Marriott or Ritz-Carlton flag. Blackstone's portfolio, for instance, comprises hotels with Grand Hyatt, Hyatt Regency, Four Seasons and Swissotel brand names. "We concluded the REIT structure would provide superior results through changing economic conditions and all phases of the hotel cycle," said Terence C. Golden, Host Marriott's president and chief executive, adding that "the company has dramatically increased its growth potential."
As part of the REIT conversion, Host Marriott also intends to spin off its 31 senior-living facilities, valued at $700 million, into a separate company. In all, the projects contain more than 7,200 units in 12 states. Host Marriott expects that the Blackstone purchase will generate earnings before interest expense, taxes and noncash charges of $183 million in 1999. The purchase is subject to various conditions, though, including Host Marriott's successful conversion to a REIT.
Host Marriott may not have the easiest time converting to a REIT, however, thanks to a volatile Wall Street market concerned about proposed federal tax law changes and investors who worry about an eventual downturn in the high-flying lodging industry.
"The REIT lodging market as a whole is a sloppy environment right now, but I think Host Marriott has the clout with the investment community to get it done," said David Gardner, a Legg Mason Wood Walker Inc. REIT analyst. "The Marriott name carries a lot of weight, and people like the brands that are involved."
If the multifaceted deal reaches fruition, Blackstone will become Host Marriott's largest single shareholder, with a 19 percent stake. The investment firm formed in 1985 also will obtain a seat on Host Marriott's board. "We see this transaction as a way of broadening and diversifying our asset base with an experienced, savvy management team," said Stephen A. Schwarzman, Blackstone's president and chief executive.
